For this experience to be satisfactory and secure, both for the buyer and the seller, it is essential to understand the legal framework governing these transactions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What rights does an art buyer have?<\/strong><\/h2>\n\n\n\n<p>The first right, and the legal basis from which the others derive, is the right to ownership. Under Articles 348 and 609 of the Spanish Civil Code (CC), the buyer, as the rightful owner, may freely dispose of the work, subject to any restrictions on its use, reproduction, or dissemination set out in intellectual property and\/or cultural heritage legislation.<\/p>\n\n\n\n<p>Once the work is in the buyer&#8217;s possession, the buyer has the right to peaceful possession, meaning the right to enjoy the work without disturbances or claims from third parties alleging rights over it. In this regard, it is important that the work be free of third-party liens and encumbrances. Under Article 1475 of the CC, the seller is obliged to deliver and warrant the item, and to respond if the buyer is deprived of the purchased work by a final judgment and\/or by a right predating the purchase (known as warranty against eviction) (Arts. 1475 to 1478 CC).<\/p>\n\n\n\n<p>The buyer is also entitled to quality and conformity, meaning the work must match the description provided by the seller and be fit for its ordinary purpose, generally, display and contemplation. If the sale is between private individuals, under Article 1484 of the CC, the seller is required to compensate the buyer for hidden defects that prevent the intended use or significantly diminish the work&#8217;s value, provided such defects existed at the time of sale and were not previously disclosed. For the buyer to bring this warranty claim, they must prove the defects existed at the time of purchase, within a maximum period of six months from delivery (Art. 1490 CC). If the work has such defects or does not match its description, the buyer is entitled to rescind the contract or obtain a price reduction.<\/p>\n\n\n\n<p>Conversely, if the sale is between a professional dealer and a private individual, the General Law for the Protection of Consumers and Users (LCU) applies. In this case, if the work has hidden defects that were not disclosed before purchase, or does not match its description, the buyer may be entitled to rescind the contract or obtain a price reduction (Arts. 115 to 124). In particular, Article 118 states that the buyer has the right to demand repair or replacement of the work free of charge, or, if these options are not feasible or involve excessive cost, which is common with unique artworks, the buyer may opt for a price reduction or contract rescission. It is worth noting that these two regimes are mutually exclusive, and consumer protection remedies are incompatible with the warranty remedies under the CC.<\/p>\n\n\n\n<p>In other words, if the sale is made by a professional, the buyer will have consumer status and the LCU will apply, which establishes a three-year legal conformity guarantee from delivery, during which the buyer may demand repair, replacement, price reduction, or contract rescission in the event of non-conformity, as opposed to the six months provided under the CC. For second-hand goods, a shorter period may be agreed, but never less than one year from delivery. Under this regime, if a defect appears within the first two years, it is presumed to have existed at the time of delivery.<\/p>\n\n\n\n<p>There is also the right to receive truthful, complete, detailed, and accurate information about the work being purchased. This includes, for example, information on the authenticity of the piece (authorship, date of creation), its provenance or ownership history, its condition, damage, restorations, and any other relevant information that may influence its value or the purchase decision. To this end, the seller may provide certificates, conservation reports, and any other documentation supporting the information provided. Failure to provide adequate information may give rise to error or fraud, which are grounds for contract voidability under Article 1265 of the CC. In particular, if the error is essential and excusable (see our blog post on this topic), Articles 1265 and 1266 of the CC apply, which may in turn give rise to seller liability for failing to properly inform the buyer.<\/p>\n\n\n\n<p>Where the sale is made with an art market professional, the buyer, as a consumer, is entitled to have the trader provide, clearly and comprehensibly, the main characteristics of the goods or services, to an extent appropriate to the medium used and to the goods or services concerned, under Articles 60 and 97 of the LCU.<\/p>\n\n\n\n<p>As the owner of the physical medium, the buyer has the right to publicly display the work under Article 56.2 of the Intellectual Property Law (LPI), unless otherwise agreed. In all cases, the buyer must ensure that such display does not harm the honor, integrity, or reputation of the author, under Article 14 LPI.<\/p>\n\n\n\n<p>Finally, the buyer has a right of withdrawal if the purchase was made remotely or off business premises, under Articles 102 et seq. of the LCU. This right allows the buyer to return the work without justification within 14 calendar days of delivery, provided the buyer is a consumer and none of the legal exceptions under Article 103 LGDCU apply.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What duties does an art buyer have?<\/strong><\/h2>\n\n\n\n<p>When acquiring a work, the buyer also assumes a series of obligations upon becoming its owner. The first and most important is to pay the seller the price in the manner and within the timeframes agreed. Failure to pay may lead to rescission of the contract by the seller under Article 1505 of the CC, and to compensation for any resulting damages.<\/p>\n\n\n\n<p>Once the sale has been completed and payment made, the buyer is obliged to collect the work at the agreed place and time. Failure to collect it may result in storage costs and, ultimately, entitle the seller to rescind the contract.<\/p>\n\n\n\n<p>Acquiring a painting entails duties of diligence and prior verification on the buyer&#8217;s part. The law is especially demanding when the buyer is an expert, in which case the seller is not obliged to warrant against hidden defects that the buyer, by virtue of their trade or profession, is easily able to identify. In other cases, although not legally required, the buyer is expected to act with due diligence. This involves asking the necessary questions, requesting relevant documentation, and, if possible, examining the work or commissioning an appraisal to verify its condition and authenticity.<\/p>\n\n\n\n<p>Owning a work does not grant unlimited use and enjoyment of it; it is also important to respect the intellectual property rights of the author or rights holder. Although the buyer owns the physical work, intellectual property rights such as reproduction, distribution, adaptation, and public communication generally remain with the artist or their heirs (Arts. 17 and 56.1 LPI). This means the buyer must respect the rights of the author and\/or holders of the economic rights over the work, and refrain from reproducing, adapting, or communicating the work without authorization. Furthermore, the buyer may not object to its reproduction for informational, educational, or critical purposes, when such use falls within the limits set out in Article 32 of the LPI.<\/p>\n\n\n\n<p>In the case of resale of a work of art whose value exceeds \u20ac800, the buyer must also pay the resale royalty right to the artist or their heirs, under Article 24 LPI.<\/p>\n\n\n\n<p>Finally, the buyer must preserve and take care of the work. Once the work is in their possession, the buyer assumes responsibility for its conservation, avoiding damage or deterioration that could affect its value and\/or artistic integrity. This obligation is especially relevant if the work is subject to special protection under cultural heritage legislation. In particular, if the work has been declared an Asset of Cultural Interest (BIC) or is included in the General Inventory of Spanish Historical Heritage, the buyer must comply with the conservation duties set out in Article 36 of Law 16\/1985 on Spanish Historical Heritage (LPHE). In addition, in these cases, the Public Administration holds a right of first refusal and withdrawal, under Article 38 LPHE, meaning it may preferentially acquire the work should the buyer decide to sell it.<\/p>\n\n\n\n<p>Art buyers face real risks: from financial loss and the possible restitution of the work, to challenges to ownership or reputational damage. It is therefore essential to understand the main rights and duties governing these transactions, from the guarantee of authenticity to the civil and property liability arising from each transaction.<\/p>\n\n\n\n<p>The art market presents real risks, from the acquisition of forged works or works with disputed ownership, to the imposition of penalties for failing to comply with cultural heritage regulations. Understanding the legal framework does not eliminate these risks, but it does make them possible to manage.<\/p>\n\n\n\n<p>Before finalizing any purchase, we recommend:<\/p>\n\n\n\n<ul>\n<li>Verifying the authenticity and provenance of the work through verifiable documentation (certificates, invoices, conservation reports).<\/li>\n\n\n\n<li>Identifying whether the seller is a private individual or a professional, since the applicable warranty regime differs substantially.<\/li>\n\n\n\n<li>Checking whether the work has any special protection, such as BIC status, or is included in the Historical Heritage Inventory.<\/li>\n\n\n\n<li>Requesting a written contract setting out all agreed conditions, including the work&#8217;s condition and any relevant information.<\/li>\n\n\n\n<li>Consulting a lawyer specialized in art law before high-value transactions.
